1. Overview

These Terms & Conditions govern the provision of data, analytics, and business intelligence services by Simple Analytics Ltd (“we”, “us”, “our”) to the client (“you”, “your”).

By engaging our services, you agree to these terms unless otherwise agreed in writing within a formal proposal or Statement of Work (SoW).

2. Scope of Services

The scope of services will be defined in a proposal, Statement of Work (SoW), or written agreement.

Services may include:

  • Power BI dashboard development

  • Semantic model design and optimisation

  • Data integration and transformation

  • Analytics advisory and consulting

  • Training, workshops, and enablement

Any work outside the agreed scope will be treated as a variation and may incur additional fees.

3. Fees and Payment Terms

  • Fees are defined in the agreed proposal or SoW

  • Invoices are payable within 14 days unless otherwise agreed

  • Late payments may incur interest at 5% per month

  • We reserve the right to suspend services where invoices remain unpaid

4. Client Responsibilities

You agree to:

  • Provide timely access to systems, data, and stakeholders

  • Ensure all data supplied is accurate and legally compliant

  • Review deliverables and provide feedback within agreed timeframes

Delays in providing access or feedback may impact delivery timelines.

5. Delivery and Acceptance

  • Deliverables will be provided in accordance with the agreed scope

  • A User Acceptance Testing (UAT) period may be included where specified

  • Deliverables are deemed accepted unless material issues are raised within 5 business days (or as otherwise agreed)

6. Changes and Variations

Any changes outside the agreed scope may:

  • Impact delivery timelines

  • Require additional fees

All variations will be agreed prior to commencement.

7. Intellectual Property

Upon full payment:

  • Ownership of final, client-specific deliverables transfers to the client

We retain ownership of:

  • Pre-existing intellectual property

  • Templates, frameworks, and reusable components

  • General methodologies and expertise

8. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information and not disclose such information to third parties, except where required by law or necessary for service delivery.

9. Data Security and Third-Party Platforms

We take reasonable care in handling your data. However:

  • We are not responsible for outages, failures, or security issues arising from third-party platforms (e.g. Microsoft, cloud providers)

  • You remain responsible for your internal data governance, access control, and security configuration

10. Warranties and Liability

We will perform services with reasonable skill and care.

However:

  • We do not guarantee specific business outcomes

  • We do not guarantee uninterrupted or error-free systems

To the maximum extent permitted by New Zealand law:

  • Our total liability is limited to the fees paid for the relevant services

  • We are not liable for indirect or consequential loss, including loss of revenue, profit, or data

11. Termination

Either party may terminate the engagement if:

  • A material breach occurs and is not remedied

  • Payment obligations are not met

All work completed up to termination will be invoiced.

12. Force Majeure

We are not liable for delays or failure to perform obligations due to events outside our reasonable control, including system outages, natural disasters, or third-party disruptions.

13. Governing Law

These Terms & Conditions are governed by the laws of New Zealand.
